We, Property Shield, representing PropertyShield.com, are willing to grant you, the subscriber, access to our online lien service (the "Service") on the condition that you accept all terms of this agreement (the "Agreement").

By agreeing to the terms of our service checking the box below, you acknowledge and confirm that you have reviewed these terms and agree to be legally bound by them.

Property Shield is a service that enables subcontractors to file pre-lien notices, mechanic's liens, and satisfactions of lien in accordance with Section 514 of the Minnesota State Statutes.

YOU AGREE:

• That the content of this website is protected by copyrights, trademarks, and other proprietary rights, and that these rights are valid and enforceable across all current and future forms of media and technology.
• Not to modify, remove, delete, augment, publish, transmit, sell, or exploit any content from this website in whole or in part, except as permitted by this Agreement or under the fair use provisions of U.S. copyright law (17 U.S.C. §107).
• Not to use web spiders, bots, or any other automated retrieval mechanisms to access the Service, other than the tools provided by the Service itself.
• Not to assign your rights under this Agreement to another party.
• To notify Property Shield of any known or suspected unauthorized use of your account or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password or credit card information.

CANCELLATION TERMS:

• Property Shield accounts are billed on a per-use basis.
• This Agreement supersedes all prior agreements, warranties, or representations related to your use of the Service.
• We reserve the right to amend this Agreement at any time by posting updated terms under "Terms of Service" on our website. Continued use of the Service constitutes acceptance of any such changes.
• Property Shield may, at its sole discretion, suspend or terminate your access to all or part of the Service for cause, including any breach or unauthorized assignment of this Agreement.

Upon termination of your account, your license to use the Service will also terminate, and you must cease all use of the Service immediately.

ADDITIONAL TERMS:

• Performance of the Service may be delayed or interrupted by events beyond Property Shield's control, including but not limited to natural disasters, power outages, equipment failure, or acts of terrorism.
• This Agreement shall be governed by and interpreted under the laws of the State of Minnesota, without regard to conflict of law provisions.

DISPUTE RESOLUTION:

In the event of a dispute, our goal is to resolve it quickly and cost-effectively. We encourage you to contact us directly to seek resolution. We will consider reasonable requests for mediation or other forms of alternative dispute resolution.

Any legal claim arising from this Agreement may be brought before a court of competent jurisdiction in Hennepin County, Minnesota, or,where applicable, Rogers, Minnesota, or your principal place of business or residence.

Alternatively, Property Shield may agree to submit disputes to binding arbitration in Hennepin County or a mutually agreed-upon location. Each party is responsible for its own arbitration costs, and both parties will share the costs of any jointly selected arbitrator. The decision of the arbitrator shall be final and binding, and judgment may be entered in any court with proper jurisdiction. No punitive damages shall be awarded.

DISCLAIMER & LIMITATION OF LIABILITY:

The Service and its content are provided with a limited money-back guarantee, not to exceed the amount paid by you for the specific service in question.

Your sole remedy shall be limited to a refund of the fees you paid for that specific service. Under no circumstances shall Property Shield be liable for any indirect, incidental, or consequential damages arising from the use of the Service or from this Agreement.
